1. Acceptance of Terms

By creating an account, accessing, or using Reputon ("Service," "Platform," "we," "us," or "our"), you agree to comply with and be legally bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use constitutes acceptance of any changes.

2. Service Description

Reputon provides an AI-powered platform that helps businesses manage and respond to Google Business Profile reviews. Our service includes:

• AI-generated review responses using GPT-4o-mini technology
• Automatic syncing of Google Business Profile reviews
• Direct posting of responses to Google Business Profile
• Multiple response tone options (Professional, Friendly, Casual)
• Review analytics and insights
• Team collaboration features
• Multi-location management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Service. By registering, you represent and warrant that you meet these requirements.

3.2 Account Responsibility

• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate, current, and complete information during registration.
• You must update your information promptly if it changes.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized access or security breach.
• You may not share your account credentials with others or allow multiple people to use a single account (except authorized team members on Business plans).

3.3 Business Accounts

If you are registering on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

4. Google Business Profile Integration

4.1 OAuth Authorization

To use our Service, you must authorize us to access your Google Business Profile via OAuth 2.0. By doing so, you grant us permission to:

• Read reviews from your Google Business Profile(s)
• Post responses to reviews on your behalf
• Access basic business information (name, location, category)

4.2 Google's Terms and Policies

Your use of Google Business Profile through our Service is subject to Google's Terms of Service and policies. You are responsible for complying with all Google policies, including:

• Google's Review Response Guidelines
• Prohibited and Restricted Content policies
• Review posting best practices

4.3 Revocation of Access

You may revoke our access to your Google Business Profile at any time through your Google Account settings. Doing so will disable most Service functionality.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree NOT to use the Service to:

• Post false, misleading, defamatory, or fraudulent content
• Violate any laws, regulations, or third-party rights
• Harass, threaten, or abuse reviewers or other users
• Solicit reviewers to change or delete reviews in exchange for compensation
• Post spam, promotional content, or off-topic responses
• Use automated scripts or bots (other than our AI service) to interact with the Platform
• Attempt to reverse engineer, hack, or compromise the Service's security
• Share copyrighted material without permission
• Impersonate others or misrepresent your affiliation
• Scrape, mine, or harvest data from the Platform without authorization

5.2 Review Response Guidelines

When using our Service to respond to reviews, you must:

• Review all AI-generated responses before posting (we are not responsible for content you post)
• Ensure responses are truthful, professional, and helpful
• Respect customer privacy (do not share personal information publicly)
• Comply with HIPAA, GDPR, and other applicable privacy regulations
• Not ask customers to change or delete reviews
• Not offer incentives in exchange for removing negative reviews

6. Subscription Plans and Billing

6.1 Subscription Plans

We offer multiple subscription tiers (Starter, Growth, Business, Enterprise) with varying features and usage limits. Current pricing and plan details are available on our website.

6.2 Free Trial

New users receive a 14-day free trial with 10 free AI-generated responses. No credit card is required. After the trial period, you must subscribe to a paid plan to continue using the Service.

6.3 Billing and Payment

• Subscriptions are billed monthly or annually in advance.
• You authorize us to charge your payment method on file for subscription fees.
• All fees are in USD unless otherwise stated.
• Payment processing is handled securely through Stripe.
• You are responsible for providing valid payment information and maintaining sufficient funds.
• Failed payments may result in service suspension or termination.

6.4 Usage Limits

Each plan includes a monthly quota of AI-generated responses:

• Starter: 100 responses/month
• Growth: 500 responses/month
• Business: 2,000 responses/month
• Enterprise: 5,000 responses/month

If you exceed your quota, you must upgrade to a higher plan or wait until the next billing cycle. Unused responses do not roll over.

6.5 Price Changes

We may change subscription prices with 30 days' notice. Existing subscribers will be grandfathered at their current rate for the remainder of their current billing period.

6.6 Refunds

We offer a 30-day money-back guarantee for first-time subscribers. Refunds are issued at our discretion for subsequent billing periods. No refunds are provided for partial months or unused responses.

7. Cancellation and Termination

7.1 Cancellation by You

• You may cancel your subscription at any time from your account settings.
• Cancellation takes effect at the end of your current billing period.
• You will retain access until the end of the paid period.
• No refunds are provided for cancellations mid-billing cycle.

7.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms or our Acceptable Use Policy
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Misuse the Service in a way that harms us or other users

7.3 Data Retention After Termination

Upon account termination, we retain your data for 90 days. After 90 days of inactivity, we permanently delete your data as outlined in our Privacy Policy. You can export your data before deletion.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including all software, designs, logos, trademarks, and content (excluding user-generated content), is owned by Reputon and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or reverse engineer any part of the Service without our written permission.

8.2 Your Content

You retain ownership of all content you create using the Service, including edited review responses. By using the Service, you grant us a limited license to:

• Store and process your content to provide the Service
• Use anonymized, aggregated data to improve our AI models
• Display your content within your account and to authorized team members

8.3 AI-Generated Content

AI-generated responses are provided as suggestions. You are solely responsible for reviewing, editing, and posting responses. We do not claim ownership of AI-generated content once you post it.

9. Disclaimers and Limitations of Liability

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 No Guarantee of Results

We do not guarantee that using our Service will:

• Improve your Google Business Profile rating
• Increase customer satisfaction or retention
• Generate specific business outcomes
• Be error-free, uninterrupted, or secure

9.3 AI Limitations

AI-generated responses are suggestions based on patterns and training data. We are not responsible for the accuracy, appropriateness, or consequences of AI-generated content. YOU are responsible for reviewing and approving all responses before posting.

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPUTON SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your use or inability to use the Service
• Third-party claims related to content you post
• Google's suspension or termination of your Business Profile

Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Reputon, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Content you post or responses you publish
• Your violation of any third-party rights (including intellectual property rights)
• Your violation of applicable laws or regulations

11. Privacy and Data Protection

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.

By using the Service, you consent to our data practices as described in the Privacy Policy, including our use of cookies and analytics.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@reputon.ai to attempt to resolve the dispute informally. We will work in good faith to reach a resolution within 30 days.

12.2 Binding Arbitration

If informal resolution fails, any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

• Arbitration shall be conducted virtually or in the state where you reside.
• Each party shall bear its own costs and attorney's fees.
• The arbitrator's decision is final and binding.
• You waive the right to a jury trial or class action.

12.3 Exceptions

Either party may seek injunctive relief in court to prevent intellectual property infringement or misuse of confidential information.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Sending an email to your registered email address
• Posting a notice in your dashboard
• Updating the "Last Updated" date at the top of this page

Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cancel your subscription.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Reputon.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

15.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, wars, cyber attacks, or third-party service outages.
